Terms of service.

Plain-language summary (not a substitute for the Terms): Mikie runs locally, never uploads your source code to build context, measures your agents honestly, bills self-serve through Stripe, and lets you export or delete your data. Founding prices stay locked while your subscription remains active.
1. Agreement
These Terms of Service (“Terms”) are a binding agreement between you and Mikie (“Mikie”, “we”) governing your use of getmikie.com, the Mikie desktop software, the Mikie MCP server, Mikie Meter, and related services (together, the “Service”).
By creating an account, installing the software, or using the Service, you accept these Terms. If you use the Service on behalf of an organization, you represent that you have authority to bind it, and “you” means that organization.
2. The Service
Mikie is a local-first context layer for AI coding agents. It indexes repositories on your machine, builds compact line-anchored context packets, and measures tokens, cost, retries, and task outcomes on every agent turn.
Mikie does not provide AI models. Your use of Codex, Claude Code, Cursor, or any model provider remains governed by your separate agreements with those providers, and their usage fees are yours.
3. Accounts & eligibility
You must be at least 16 and able to form a binding contract. Keep your credentials secure — activity under your account is your responsibility. Notify us promptly of any unauthorized use.
Authentication is provided through Auth0 with email/password, GitHub, or Google. Mikie stores only its own opaque identity mapping, never your provider credentials.
Individual plans include a limited number of registered devices (currently 3). Device enrollment and revocation are managed in your account.
4. Plans, billing & trials
Paid plans are self-serve subscriptions billed monthly or annually through Stripe. Prices are shown before checkout; taxes may apply. Only verified payment-processor events change your subscription state.
Trials: where offered, a card is required and the first charge date is shown before you confirm. Cancel before the trial ends to avoid charges.
Founding pricing: promotional “founding” rates remain in effect for as long as your subscription stays active. If it lapses or is canceled, the then-current rate applies on re-subscribe.
Failed payments: you keep access for a short grace period (currently 3 days), after which the subscription suspends until payment succeeds. Canceling keeps access until the end of the paid period. Fees are non-refundable except where required by law.
Team seats are usage-based where indicated — you pay only for builders active in a billing month. We may change prices with at least 30 days' notice; changes take effect at your next renewal.
5. Your code & your data
Local-first: repositories are indexed and context packets are built on your machine. Your source code is never uploaded to build context, and Mikie claims no ownership of your code or of anything your agents produce.
The measurement ledger records operational facts — tokens, cost, cache hits, retries, command results, and task outcomes. It does not store your raw source, prompts, or model responses.
Enhanced telemetry is off by default and strictly consent-based. It is content-free by schema and retained for a limited period (currently 90 days). Withdrawal stops upload immediately and schedules deletion.
You can export your measurement data at any time and request deletion of your Meter identity. Deletion is performed by crypto-shredding with append-only tombstones. See the Privacy Policy for details.
6. Acceptable use
Don't misuse the Service. You may not: reverse engineer or resell it except as law permits; probe or disrupt its infrastructure; use it to violate law or third-party rights, including model providers' terms; index repositories you have no right to access; or misrepresent Mikie measurements as guarantees.
Download grants are bound to your account, release, platform, and artifact hash, and expire quickly. Sharing grants or redistributing installers is prohibited. We may suspend accounts that put the Service or others at risk.
7. Measurements & claims
Mikie's core promise is honest measurement. Savings and quality figures shown in the product are measurements of your own usage under specific conditions — evidence, not guarantees of future savings, cost, or model behavior.
Every published figure carries an evidence label (exact, calculated, estimated, or unavailable). Claim boundaries exist so unproven claims are blocked rather than inferred; do not republish a figure whose receipt marks it ineligible.
8. Intellectual property
Mikie and its licensors own the Service, including software, design, and branding. We grant you a limited, non-exclusive, non-transferable license to use the software for your internal business or personal use while your subscription is active.
Feedback you send may be used to improve the Service without obligation to you. “Mikie” and the Mikie logo may not be used without written permission.
9. Third-party services
The Service interoperates with third parties — Auth0 (authentication), Stripe (payments), GitHub and Google (sign-in), and the MCP clients and model providers you connect. Their services are governed by their own terms, and we are not responsible for them.
10. Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Mikie does not warrant that context selection will be complete or that agent output will be correct — you are responsible for reviewing code your agents produce.
11. Limitation of liability
To the maximum extent permitted by law, Mikie will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill.
Our total liability for all claims in any 12-month period is limited to the amounts you paid Mikie for the Service in that period. These limits do not apply where prohibited by law.
12. Indemnification
You will defend and indemnify Mikie against claims arising from your content, your repositories, your use of the Service in violation of these Terms, or your violation of law or third-party rights.
13. Termination
You may stop using the Service and cancel at any time from your account. We may suspend or terminate the Service for material breach, non-payment after the grace period, or legal risk, with notice where practicable.
On termination, your license ends and local software must be uninstalled. Ledger export remains available for 30 days after account closure, after which data is deleted per the Privacy Policy. Sections 5, 7, 8, and 10–15 survive termination.
14. Changes to these Terms
We may update these Terms from time to time. For material changes we will give at least 14 days' notice by email or in-product. Continued use after the effective date constitutes acceptance; if you disagree, cancel before it takes effect.
15. Governing law & contact
These Terms are governed by the laws of the State of Delaware, USA, excluding conflict-of-law rules; exclusive venue is the state and federal courts located in Delaware. If any provision is unenforceable, the remainder stays in effect. These Terms plus referenced policies are the entire agreement.
